By registering with Snaxx, you agree to provide truthful information, maintain the confidentiality of your account details, and comply with the Terms of Use for all Users, our Acceptable Use Policy, and other parts of the Terms of Service.

8. Our Rights, Including Account Suspension or Termination

We may moderate or review your Content to ensure compliance with the Terms of Service. We may suspend or terminate your account for breaches of the Terms of Service, among other reasons.

9. What We Are Not Responsible For

We are not responsible for Content on Snaxx, actions of other Users, or any loss resulting from using Snaxx. We do not guarantee the security or functionality of Snaxx.

10. Intellectual Property Rights - Ownership and Licenses

You confirm ownership or necessary rights for your Content and grant us a license to use it for the operation of Snaxx. This license is perpetual, non-exclusive, worldwide, royalty-free, sublicensable, and assignable by us.

11. Integration with Apple, Facebook, and Google

Users may link their Snaxx account with active Apple, Facebook, or Google accounts, complying with respective terms of service.

You can delete your Snaxx account through the 'Account' section. Fans' accounts will be deleted within a reasonable time, while Creators' accounts will remain open until the end of the current subscription period.

We do not exclude liability where unlawful. For consumers, we are not liable for loss of profit, business, or data. For business users, our liability is limited as outlined in the Terms of Service.

5. Fees for Creators

We charge Creators a fee of twenty per cent (20%) of all Fan Payments made to them (excluding any VAT portion of the Fan Payment and Payment Provider fees), referred to as "Our Fee." The remaining eighty per cent (80%) of the Fan Payment (excluding any VAT portion of the Fan Payment and Payment Provider fees) is paid to the Creator, known as "Creator Earnings." Our Fee covers the costs associated with providing, maintaining, and operating Snaxx, as well as storing Content. Our Fee is deducted from the Fan Payment, and Creator Earnings are paid to the Creator as described in the "Payouts to Creators" section below.

In certain circumstances, and at the sole discretion of Snaxx Labs Ltd., variations to the standard twenty per cent (20%) fee mentioned above may be negotiated with individual Creators. Any such variations shall be documented in writing and agreed upon by both parties. These negotiated variations shall be considered exceptions and will be applied on a case-by-case basis. Such exceptions do not set a precedent for future transactions and shall not be construed as a modification to the standard fee structure unless explicitly stated in writing by Snaxx Labs Ltd.

Only individuals can be Creators, and each Creator is personally bound by the Terms of Service. If you have an agent, agency, management company, or another third party that assists with your Creator account or operates it on your behalf, your personal legal responsibility remains unaffected. Our relationship is directly with you, and not with any third party. You are legally responsible for ensuring that all Content posted and all use of your account complies with the Terms of Service.

We strongly advise all Creators to seek professional guidance to ensure compliance with their local Tax and VAT regulations, tailored to their specific circumstances.

As a Creator using Snaxx, you are legally obligated to report all payments received in connection with your use of Snaxx to the relevant Tax authority in your jurisdiction, as required by law.

By using Snaxx as a Creator, you commit to adhering to all Tax-related laws and regulations applicable to your activities. In the event of any Tax non-compliance on your part during your tenure as a Snaxx account holder, which includes failure to report earnings or facing penalties or interests related to Tax, or if any litigation, inquiry, or investigation related to Tax is initiated against you, you hereby agree to:

Additional information on the obligation to register for VAT in the UK and the VAT status of Creators whose earnings fall below the threshold or who are not VAT registered can be found at Customs guidance in the UK at https://www.gov.uk/vat-registration/when-to-register.

You commit to maintaining copies of all VAT invoices and VAT returns related to your earnings from Snaxx. Upon our request, you will promptly provide us with copies of these documents within 14 days. It is your responsibility to adhere to all VAT legislation provisions and maintain accurate, complete, and up-to-date records, invoices, accounts, and other necessary documents in compliance with VAT regulations.

If you are a UK Creator not obligated to register for UK VAT, you should monitor your taxable sales in the UK, including Referral Payments, to ensure they do not exceed the VAT registration threshold. As a taxable entity, you are responsible for monitoring whether you surpass this threshold. Failure to comply may result in the closure of your Snaxx account.

Acceptable Use Policy

By utilizing our website, you are bound by this policy. Please read it meticulously. This policy governs your utilization of Snaxx and all its content, forming an integral part of your agreement with us. It delineates what is permissible and impermissible on Snaxx.

Snaxx must not be used for stalking, bullying, abusing, harassing, threatening, or intimidating others.

Engaging in misleading or deceptive conduct or any actions likely to mislead or deceive fellow Users is prohibited.

8. Respect for Intellectual Property Rights

Always respect the intellectual property rights of Creators. Do not record, reproduce, share, publicly communicate, or distribute their Content without proper authorization.

9. Protection of Rights

Refrain from any actions that infringe upon our rights or those of others, including but not limited to intellectual property rights such as copyrights, trademarks, confidential information, and goodwill, as well as personality rights, unfair competition, privacy, and data protection rights.

10. No Impersonation

Impersonating us, our employees, other Users, or any entity or individual, and falsely asserting or implying affiliations, endorsements, or sponsorships, is strictly forbidden.

11. Accurate Registration Information

Provide truthful and accurate information during account registration. Unauthorized use of another individual's information or Content is prohibited.

12. Prevention of Spam and Inauthentic Content

Do not post or promote spam, or engage in activities that artificially inflate a Creator's views or interactions. Avoid sharing inauthentic, repetitive, misleading, or low-quality Content.

13. Authentic Live Streaming

While live streaming, do not transmit pre-recorded audio or video material, or attempt to present recorded content as a live stream.

14. Compliance with Policy

Do not resort to alternative media or methods (e.g., codewords or signals) to convey content that violates this Policy.

15. Content Usage

Reproduction, printing, distribution, download attempts, modification, creation of derivative works, public display, public performance, republishing, downloading, storing, or transmission of any Content is strictly limited to what is permitted under the Terms of Service.

16. Protection Against Malicious Material

Knowingly introducing viruses, trojans, worms, logic bombs, or any other harmful material into Content is prohibited.

17. No Reverse Engineering

Decompiling, disassembling, reverse engineering, or attempting to uncover or derive the source code of Snaxx is strictly prohibited.

18. No System Disruption

Usage of Snaxx in a manner that may adversely affect our systems or security, or disrupt other Users' Snaxx experience, including real-time activities, is not allowed.

19. Automated Tools and Scripts

Utilizing automated programs, tools, or processes (e.g., web crawlers, robots, bots, spiders, automated scripts) to access Snaxx or its associated servers, networks, systems, or to extract, scrape, collect, harvest, or gather Content or information from Snaxx is strictly prohibited.

20. Proper Usage of Snaxx's Name and Logo

Use Snaxx's name, logo, or any related or similar elements solely as expressly permitted in the Terms of Service or with our prior written consent.

Be aware that substantial earnings are not guaranteed and depend on the genuine engagement and transactions by those you refer. No upfront payments are required from referring users to join the Snaxx Referral Program. Should you decide to engage with any contract associated with our referral activities, you are entitled to a 14-day cancellation period, during which you can withdraw from the agreement and receive a full refund.

We reserve the right to promote accounts through our suggestion features, which may be deployed manually or algorithmically at our discretion. The criteria for suggestions can include, but are not limited to, recent earnings within the past 30 days, posting frequency, user engagement, and the quality of content. This allows us to dynamically suggest potential creators for users to follow, prioritizing those who have demonstrated active and successful engagement on Snaxx. We aim to tailor suggestions based on the preferences of our users to enhance their experience on Snaxx.
