WARNING! In compliance with Regulation 3 of the Trading Scheme Regulations 1997 (as amended) and Section 120(1) of the Fair Trading Act 1973, please take heed of the following warning regarding the Snaxx Referral Program:
Participation in the Snaxx Referral Program allows for the opportunity to earn ongoing income by referring new Users to our platform. However, it is crucial to understand that the earnings are generated from the activity of the referred individuals, not from expanding the network of participants.
Be aware that substantial earnings are not guaranteed and depend on the genuine engagement and transactions by those you refer. No upfront payments are required from referring users to join the Snaxx Referral Program. Should you decide to engage with any contract associated with our referral activities, you are entitled to a 14-day cancellation period, during which you can withdraw from the agreement and receive a full refund.
1. Introduction
These Referral Program Terms are supplementary to your existing agreement with us and are applicable when you utilize the Snaxx Referral Program.
2. Interpretation
In these Referral Program Terms, terms defined in the Terms of Use for all Users retain their original meanings. Additionally:
- "Referring User" is synonymous with "you" or "your" in these Referral Program Terms.
- "Referred Creator" refers to the person who joins Snaxx as a Creator through the Referring User's unique referral link.
3. What is the Snaxx Referral Program?
Snaxx provides a referral program enabling current Users to introduce potential Creators to Snaxx and receive referral payments from Snaxx. The calculation and limitations of these referral payments are described in these Referral Program Terms.
The Snaxx Referral Program is managed by Snaxx Labs LTD, a limited company registered in England and Wales with company registration number 14480174 and a registered office address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
4. Rules of the Snaxx Referral Program
- Only current Snaxx Users with active User accounts are eligible to participate in the Snaxx Referral Program. Users with suspended or terminated accounts or those who have voluntarily deleted their accounts are not eligible.
- To receive referral payments through the Snaxx Referral Program, you must provide bank account details or payment method information in your User account.
- Each User is assigned a unique referral code, accessible through their User account, which they can share. When sharing your referral code, you must not impersonate Snaxx or imply that your link is endorsed by us. Usage of Google Ads or similar advertising platforms or search engine advertising services for sharing or promoting your referral code is prohibited. You must disclose the methods used to share your referral code upon our request, within your Snaxx account's Bio/Website field.
- The Referred Creator must indicate your referral code to create their account. If someone registers on Snaxx without using your referral code, no referral payments will be attributed to you.
- Referred Creators must not have previously opened a Snaxx User account, whether under the same name or a different one, before using your unique referral code. No referral payments will be made for referrals if the Referred Creator is a current or past User of Snaxx.
- If the Referred Creator establishes multiple User accounts, referral payments will only be made based on earnings from their initial User account. Subsequent User accounts set up by the Referred Creator will not qualify for referral payments.
- No referral payments will be made if we determine that the Referred Creator is owned or operated by you, or has a commercial relationship with you. You are obligated to provide requested information to facilitate this determination.
- When promoting Snaxx as a Referring User, you must refrain from:
- Creating a false impression of Snaxx, its services, programs, content (including Content), Users, or the Terms of Service.
- Making any statements that imply potential Creators will earn a specific sum of money (or any money) from using Snaxx, or making any claims regarding the likely number of Fans.
5. Referral Payments
- Calculation: Referral payments to Referring Users are calculated as follows: Once a Referred Creator becomes a registered Snaxx User in compliance with the Snaxx Referral Program rules, the Referring User will receive a referral payment equivalent to five percent (5%) of the net amount received by the Referred Creator from the Fan Payments generated during the twelve months following their registration on Snaxx. The maximum referral payment to a Referring User by Snaxx is capped at US$50,000 per Referred Creator, unless a specific written agreement is reached between Snaxx and the Referring User.
- If a Referred Creator generates Fan Payments totaling US$1 million or more within the first twelve months of their Snaxx registration, the Referring User's referral payments related to that Referred Creator will be limited to a total of US$50,000. If the Referred Creator generates less than US$1 million in Fan Payments during the same period, the Referring User will receive five percent (5%) of the Fan Payments generated by that Referred Creator for the initial twelve months, after which no further referral payments will be issued to the Referring User for that Referred Creator. This does not apply to early Users and Referring Users that referred in 2024.
- VAT: Referring Users should be aware that all referral payments from us are inclusive of any applicable VAT.
- Payout Method: You will receive referral payments in your available funds, which will be transferred to the specified bank account.
- Payment Frequency: Payments are made on a weekly basis, a period of 20 days may be applied before payment if verifications are required, particularly for first payments.
- Cost Responsibility: The cost of referral payments is covered by us, not the Referred Creator.
6. Our Rights Relating to the Referral Program
- We retain the right to recover erroneously paid sums from the User who received them if referral payments were made incorrectly.
- We may request that you or Referred Creators (or both) provide us with identification and other information necessary to verify any referral payment and the intended recipient. Failure to comply with our information requests may result in forfeiture of referral payments related to the relevant Referred Creator.
- We reserve the right to modify any aspect of the Snaxx Referral Program, including the method for calculating referral payments, or to discontinue the Snaxx Referral Program at any time. However, any changes will not affect referral payments already earned by Referring Users based on Fan Payments to Referred Creators prior to the changes taking effect.
7. Circumstances in which we may withhold referral payments
- We reserve the right to withhold some or all of the referral payments owed to you, which have not yet been disbursed, under the following conditions:
- If we have reason to believe that you have committed a serious or repeated breach of any aspect of the Terms of Service.
- If you attempt or threaten to breach any part of the Terms of Service in a manner that has or could have serious consequences for us or another User, including actual or potential financial losses incurred by us or another User.
- If we suspect that any portion of the referral payments owed to you stems from unlawful or fraudulent activities, whether by you, the Fan who made the Fan Payment to the Referred Creator resulting in the referral payment, or the Referred Creator who received the Fan Payment leading to the referral payment.
- In such cases, we may withhold the referral payments for as long as necessary to investigate the actual, threatened, or suspected breach(es) by you or the suspected unlawful or fraudulent activities, as applicable. Following our investigation, if we determine that:
- You have seriously or repeatedly breached any part of the Terms of Service.
- You have attempted or threatened to breach any part of the Terms of Service in a way that has or could have serious consequences for us or another User, including actual or potential financial losses.
- All or a portion of the referral payments owed to you results from unlawful or fraudulent activities, we may inform you that you have forfeited some or all of your referral payments.
- We may also withhold some or all of the referral payments owed to you, which have not yet been paid, if we receive notification that you have placed a security interest, lien, or other encumbrance on these payments. We are not obligated to make referral payments to third-party lienholders, and we may retain payment of Creator Earnings until the lien is removed.
- We assume no responsibility to you if we withhold or forfeit any payments owed to you under the Snaxx Referral Program in cases where we are entitled to do so under these Referral Program Terms.
- In situations where we are withholding some or all of the referral payments owed to you, and we determine that a portion of the withheld referral payments is unrelated to your breaches of the Terms of Service or suspected unlawful or fraudulent activities, we may arrange to pay you the portion of referral payments unrelated to such breaches or suspected activities. However, you acknowledge that if we determine that your breach(es) of the Terms of Service has or may result in losses to us, we may withhold all referral payments owed to you that have not yet been disbursed, and we may offset these amounts against any losses we have incurred.
